– Shares should be held since June 15, 2025 (Cut off date – which is set based on the estimated timeline of filing of the DRHP). This date can be revised by the company.
– ⁠Shares should be free from pledge /lein
– ⁠OFS Deadline: April 27, 2026.
– ⁠Costs: If you’re taking part in the IPO you will bear the fees of BRLM, Legal, Marketing and intermediaries in proportion to the offered shares sold by you.
– ⁠OFS participants are categorised in ‘Category A’ and ‘Category B’. Cat A is applicable to those expressing their intention to offer lesser than 50 lakh shares in the OFS and Cat B is for those who expressed their intention to offer greater than 50 lakh shares.
– ⁠Treatment of Cat A and Cat B- Cat A shareholders needs to deposit their shares in an escrow account before filing of DRHP and Cat B have to do so prior to the filing of the UDRHP.
– ⁠Cat A shareholders will need to provide a Power of Attorney in favour of the Company’s representatives. Such POA will be required for signing certain documents in relation to the IPO.
– ⁠Post IPO lock in for unsold shares is 6 months.
– ⁠There is no lock in for VC funds, Cat 1 AIF, Cat 2 AIF, and Foreign VC Fund.
– ⁠If you are a selling shareholder, you cannot participate in the IPO as an investor
– ⁠OFS is a 3 step process – Expression of Interest, Verification & Documentation, and Transfer to Escrow account.
– ⁠No allocation priority is mentioned in the doc.
